Public Offer (Terms of Service)

Individual Entrepreneur Plugov Aleksey Gennadievich (OGRNIP: 312010503000084, INN: 010505725982), hereinafter referred to as the “Copyright Holder”, hereby offers any individual or legal entity (hereinafter referred to as the “User”) to enter into an Agreement for the use of the website rusagridata.com under the terms and conditions of this Public Offer.

1. General Provisions and Acceptance

Legal Status: This document constitutes a public offer in accordance with Article 437 of the Civil Code of the Russian Federation.
The Website: An information system located on the Internet at rusagridata.com, including all its subdomains and sections.
Moment of Conclusion: Any of the following actions shall constitute unconditional acceptance (conclusion) of this Offer: registration on the Website, subscription, payment for services, or actual use of any materials from the Website.

2. Access Types and Payment Terms

Categories of Users: This Agreement is concluded with both individuals (B2C) and legal entities / sole proprietors (B2B).
Access Levels: Access to analytical materials is divided into Free Access (without registration), Registered Access (after creating a personal account), and Commercial Access (paid).
Pricing and Tariffs: The cost of commercial access is determined by the Copyright Holder and published on the Website. The Copyright Holder reserves the right to establish periods of free (trial) access. Paid tariffs shall become effective from the moment of their publication on the Website.
Online Acquiring: Payment for commercial access is made by the User via a cashless settlement through the payment gateway (acquiring) on the Website. The payment obligation is considered fulfilled at the moment the funds are credited to the Copyright Holder’s account.
Refund Policy: Since the subject of this Agreement is the provision of digital content (analytics), in accordance with Article 431.2 and Part 2 of Article 453 of the Civil Code of the Russian Federation, once access to the materials is granted (subscription activated / download completed), funds for the current paid period are non-refundable, unless otherwise provided by mandatory consumer protection laws applicable to individuals prior to the start of service consumption.

3. Intellectual Property and Strict Restrictions

Copyrighted Objects: All analytical materials, articles, reviews, forecasts, databases, text, graphics, interactive elements, and other materials published on the Website (including materials created within the rusagridata.com and ab-centre.ru projects) are the intellectual property of IE Plugov A.G. and are protected by applicable legislation and international treaties.
Materials Based on External Sources: The Website may feature data obtained from official third-party sources (Federal State Statistics Service (Rosstat), departmental databases, customs statistics, etc.). The raw statistical data of third parties itself is not the property of the Copyright Holder. However, the proprietary methodology of its processing, unique structure, analytical findings, calculated indices, textual interpretation, design, charts, diagrams, and the format of presentation of this data constitute composite works, the full rights to which belong to IE Plugov A.G. and are protected in the same manner.
Permitted Use: Any materials (both fully proprietary and analytically processed third-party data) are provided to the User solely for personal use (for individuals) or internal commercial use (for legal entities / sole proprietors) without the right of commercial distribution.
Strict Prohibition: The User is strictly prohibited from transferring the obtained materials, as well as authorization data (login and password), to any third parties.
Prohibition of Publication: Any placement, copying, citation (beyond the limits established by law for fair use with a mandatory active hyperlink to rusagridata.com), republication, or distribution of materials on the Internet (including websites, blogs, forums, social media groups, channels, and chats in messengers such as Telegram, WhatsApp, etc.) is strictly forbidden.
Technical Control: The Copyright Holder reserves the right to embed hidden digital markers (watermarks) into files, tables, and texts, allowing the identification of a specific User in the event of a material leak.

4. Liability and Penalties

Termination Without Refund: Upon detection of any fact of transfer or distribution of materials (including public availability), the Copyright Holder has the right to immediately block the User’s account. Funds for the unused period of access shall not be refunded and will be withheld as a penalty.
Amount of Fine: For each violation of the prohibition on the transfer/distribution of materials, the User agrees to pay the Copyright Holder a contractual fine in the amount of 10 times the cost of the paid service (tariff), but in any case not less than the amount equivalent to 1,000 (one thousand) US Dollars at the official exchange rate of the Central Bank of the Russian Federation on the day the claim is filed.
Fine for Free and Registered Access: The specified minimum fine (an amount equivalent to 1,000 US Dollars) fully applies to cases where the violation is committed by a User with non-commercial (free registered) access to the resource, as well as to cases where the unauthorized distributed materials were obtained by the User from the Free Access (open to all visitors without registration) sections of the Website.
Exclusion of Costs and Damages: The fine specified in this section does not include legal costs and damages incurred by the Copyright Holder. Over and above the fine, the Violator agrees to fully compensate:
- All legal expenses of the Copyright Holder (including attorney/legal fees, state court fees, expenses for notary services to verify facts of violations on the Internet, expert assessments, and postal delivery costs).
- All actual damages and lost profits caused by the unauthorized distribution of analytics (including drop in sales, lost income from potential subscribers, and costs incurred to eliminate the consequences of the information leak).

5. Amendments to the Offer

Right to Unilateral Modification: The Copyright Holder reserves the right, at their sole discretion, to modify and supplement this Offer, Tariffs, and Website rules at any time and without prior notice to Users.
Entry into Force of Amendments: A new version of the Offer becomes effective upon its publication (placement) on the Website at rusagridata.com, unless another date is specified upon publication.
User’s Obligation: The User is solely responsible for tracking the current version of the Offer. Continued use of the Website, personal account, or materials after changes are made constitutes the User’s full and unconditional consent to the new version of the Offer.

6. Dispute Resolution

Pre-trial Procedure: A preliminary dispute resolution (claim) procedure is mandatory. The response time to a written claim is 10 (ten) calendar days from the date of its receipt.
Jurisdiction: All disputes with legal entities and sole proprietors shall be settled in the Arbitration Court at the location of the Copyright Holder. Disputes with individuals shall be settled in the court of general jurisdiction at the location of the Copyright Holder (within the limits permitted by mandatory consumer protection legislation).
